Terms of use

Plain terms for a simple arrangement: a partner issues you a key, and you use it to call the API within the limits attached to it.

In short: use the key you were issued, within its limits, for lawful work. Your purchase, renewal and any refund are matters between you and the partner who issued the key. We run the API and keep it available as best we can, without guarantees.

1. Acceptance

These Terms of Use (the "Terms") are an agreement between you and LotusAI ("LotusAI", "we", "us"). By sending a request to the LotusAI API, or by using any key issued for it, you accept these Terms. If you are using a key on behalf of a company or team, you confirm that you are authorised to bind them, and "you" includes them.

If you do not agree to these Terms, do not use the service.

2. The service

LotusAI is a flat-rate coding API. It accepts requests in the Anthropic Messages format and the OpenAI Chat Completions format, forwards them to large language models, and returns the responses. The service includes the API endpoints, the public status and key-check pages, the one-line installers, the documentation on this site, and the partner console used to issue keys (together, the "Service").

Usage is metered in five-hour windows: each key carries a usage budget per window that resets when the window ends, together with a requests-per-minute ceiling. The current list of available models is published at GET /v1/models and may change over time.

3. Keys and partners

  • Keys are issued by authorised partners. We do not sell keys on this site and there is no self-service signup. A partner issues your key, sets its plan, limits and expiry, and is responsible for renewals.
  • Your purchase is governed by your partner. The price you paid, the term of the key, renewals, cancellations and any refund are governed by the agreement between you and the partner you bought from. We are not a party to that agreement and do not process payments for keys.
  • Keep the key confidential. You are responsible for all activity under your key. Do not publish it, embed it in client-side code, or share it beyond the people the partner issued it for. If you believe a key has leaked, contact your partner so it can be rotated.
  • Keys may be disabled. We or the issuing partner may suspend or disable a key at any time for suspected abuse, a breach of these Terms, non-payment to the partner, or to protect the Service.
  • Partners are independent. Partners are independent businesses. They are not our agents, and any representation a partner makes that goes beyond these Terms and our documentation is theirs, not ours.

4. Acceptable use

You agree not to use the Service to:

  • break any applicable law, or infringe the rights of any person;
  • generate or distribute malware, or attack, probe or disrupt any system, including ours;
  • generate content that is unlawful, harassing, defamatory or that sexualises minors;
  • circumvent, probe or overload usage windows, rate limits, key checks or other protections;
  • resell, sublicense or share access to a key except as the issuing partner permits;
  • misrepresent the output of the Service as human-authored where that matters, or use it to deceive;
  • reverse-engineer the Service or attempt to extract its configuration, prompts or infrastructure details.

We may investigate suspected violations using the operational data described in our Privacy Policy and may suspend keys while we do.

5. Usage windows and limits

Each key has a token budget per five-hour window and a requests-per-minute ceiling, both set by the issuing partner within the plans we offer. When a window's budget is used up, requests receive a notice stating when the window resets, and normal responses resume automatically after that. Exceeding the per-minute ceiling returns a 429 response.

We may adjust limits, model availability and how usage is weighted across model families to protect the quality of the Service for everyone. Reaching a limit is a normal part of the Service, not a fault.

6. Your content

You keep whatever rights you hold in the prompts, code and files you send ("Input") and in the responses you receive ("Output"). You grant us only the limited right to process Input and Output as needed to provide the Service, enforce limits and prevent abuse, as described in the Privacy Policy.

Output is generated by machine learning models and may be inaccurate, incomplete or unsuitable for your purpose. You are responsible for reviewing it before you rely on it, ship it or distribute it.

7. Availability

We work to keep the Service available and fast, and we publish live health on the status page. The Service is nonetheless provided "as is" and "as available". Maintenance, upstream provider incidents, network conditions and events outside our control can interrupt it, and we do not promise any particular uptime, latency or model availability.

8. Third-party providers

Responses are generated by third-party model providers whose capacity, behaviour and policies we do not control. Your use of the Service must also comply with the usage policies of those providers as they apply to the models you call. We may change which providers or models serve a request without notice.

9. Intellectual property

The LotusAI name, lotus mark, this website, the documentation, the installers and the Service software are owned by LotusAI or its licensors. You may use the installers and code samples we publish to connect your tools to the Service. You may not copy our branding or present yourself as LotusAI or as an authorised partner unless we have appointed you as one.

10. Disclaimer of warranties

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service or its Output will be accurate, uninterrupted or error-free.

11. Limitation of liability

To the fullest extent permitted by law, LotusAI will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to the Service, however caused.

Our total liability for all claims relating to the Service in any twelve-month period will not exceed the greater of (a) the amount the issuing partner paid us for the specific key concerned during that period, and (b) one hundred US dollars. Nothing in these Terms limits liability that cannot be limited by law.

12. Suspension and termination

We may suspend or terminate access to the Service, or disable a key, where we reasonably believe these Terms have been breached, where required by law, or where necessary to protect the Service or other users. You may stop using the Service at any time. Questions about the remaining term of a key, or any amount paid for it, should go to the partner who issued it.

13. Changes to these terms

We may update these Terms as the Service evolves. The current version is always at this address with the date it took effect. For material changes we will make the update visible on this site. Continued use of the Service after a change means you accept the updated Terms.
